You will not hold dynamic SearchBoss or its affiliates liable or responsible for the activities of visitors who come to your site(s) through a link provided by SearchBoss. You further represent that your site is not unsuitable for the SearchBoss Client webpages and dynamic Program. Unsuitable sites include those that promote violence; promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; promote illegal activities; and violate or infringe upon the rights of any third party, including intellectual property rights. SearchBoss reserves the right to reject or remove any website if it is deemed unsuitable for the SearchBoss Client Program. CLIENT INDEMNIFICATION OBLIGATIONSClient agrees to indemnify and hold SearchBoss, its affiliates and their respective employees, consultants and other agents harmless from and against any losses, costs, damages or expense (including reasonable attorney''s fees) resulting from claims or actions arising out of or in connection with Client''s participation in the SearchBoss Client Program. Client website webpages content dynamic or Client''s breach of any agreement, representation or warranty hereunder, including, without limitation, third party claims of infringement of copyright or other intellectual property rights and violation of rights of privacy and publicity. You agree that you are solely responsible for defending any claim, and for payment of damages or losses resulting from the foregoing to both a third party and to SearchBoss. The Client agrees to pay all charges to its account in accordance with SearchBoss''s terms then if effect at the time a fee dynamic is incurred. Client acknowledges that its payment obligation hereunder is based solely on the number of webpages clicks and not on a Client''s ability to convert clicks to sales. Client agrees that SearchBoss may charge provided credit card upon the issuance of tracking report reflecting the number of clicks. The Client represents that all payment information provided to SearchBoss will be accurate and complete. In the event that SearchBoss is unable to charge a Client''s credit card, SearchBoss may, in its sole discretion, supspend or terminate the Client''s participation in the Client Program. CLIENT REPRESENTATIONS AND WARRANTIES You represent dynamic that you are the authorized owner or representative of the website(s) for which links are requested and that such site(s) is not involved in any illegal activity, hate activity (whether racial or otherwise) and webpages does not contain any libelous matter.
