Here''s how you can take advantage of this latest tool in online promotion: Promote Your Site Bid on Keywords and secure TOP positions in our search results. CLIENT PROGRAM For purposes of this Agreement, the SearchBoss Client Program is that program whereby Clients wishing to advertise their web site, services or products, bid for placement of a listing to appear in the search results generated by SearchBoss and/or its affiliates in response to a search term corresponding to the subject of the search listing. The amount of a Client''s bid determines placement of such Client''s listing in a search results list. SearchBoss continually updates placement based upon the ongoing results of the bids for placement. CLIENT PAYMENT The Client agrees to pay SearchBoss based on the number of clicks by a user on your search listing multiplied by the amount which you have bid to pay for each click on your search listing. The amount of clicks are measured by tracking reports prepared by SearchBoss and you understand and agree that such report shall be the only and definitive measure of the amount of clicks. A deposit of at least $20 shall be paid to SearchBoss to begin services to the Client. If Client decides to cancel account, SearchBoss will refund 80% of their current account balance, however will not refund amounts under $10. You will not hold SearchBoss or its affiliates liable or responsible coolwebsight for the activities of visitors who come to your site(s) through a link provided coolwebsight by SearchBoss. You further represent that your site is not unsuitable for the SearchBoss Client Program. Unsuitable sites include those that promote violence; promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; promote illegal activities; and violate or infringe upon the rights of any third party, including intellectual property rights. SearchBoss reserves the right to reject or remove any website if it is deemed unsuitable for the SearchBoss Client Program. CLIENT INDEMNIFICATION OBLIGATIONSClient agrees to indemnify and hold SearchBoss, its affiliates and their respective coolwebsight employees, consultants and other agents harmless from and against any losses, costs, damages coolwebsight or expense (including reasonable attorney''s fees) resulting from claims or actions arising out of or in connection with Client''s participation in the SearchBoss Client Program. Client website content or Client''s coolwebsight and coolwebsight breach of any agreement, representation or warranty hereunder, including, without limitation, third party claims of infringement of copyright or other intellectual property rights and violation of rights of privacy and publicity. You agree that you are solely responsible for defending any claim, and for payment of damages or losses coolwebsight resulting from the foregoing to both a third party and to SearchBoss.
